Welcome to X-Line Asset Management!
It is our goal to help our customers
buy and sell idle high technology
manufacturing equipment. Whether via
a negotiated sale or via one of our
online auctions, both buyers and sellers
can feel comfortable knowing we are
working to make the experience a positive
one. Please read below for questions

Any items that you see listed on “The
Dock” or under the “Inventory”
tab are available via a negotiated
sale. If an item interests you, please
send us an email with questions or
an offer and we will work with you
to close the transaction.
Online Auctions
Placing bids on the X-Line auction
is simple and can be fun! To bid on
an item, simply enter your User ID
and Password, the bid amount, and
wait so see if your bid is a winning
one! If you are new to X-Line and
you don't have an account, prior to
bidding you will be prompted to create
an account. We do this in order to
be certain that you if your bid is
successful and you win the item, that
we can process your order and get
the appropriate removal instructions
to you. Remember, all bids are non-cancelable
and by placing a bid you agree to
purchase that item at the posted bid
price, so be certain that you want
what you bid on!
To
Place a Bid
1. Click on the desired
product, existing customers can then
enter user name, password, comments,
bid amount and place their bid.
2. For new customers,
we have a quick and easy form to fill
out that will include the following:
contact name and information, billing
and shipping address' and payment
information. You'll be able to select
a User ID and Password, which you
can use for all future bids. When
selecting your user id and password
you may use either letter or number
characters. The system will accept
either as long as they aren't in use
by another registered bidder. Once
your User ID and Password are issued,
write them down and save them in a
safe place, you will use these when
you return to bid again. If you ever
forget your user id or password, send
us an email at: help@xlineassets.com
and we will look them up and send
them to you.
3. Click the SUBMIT
BID button, you will be asked to review
the bid information, enter any comments
and place your bid!

assets are sold “as is, where
is” with no warranties or representations
made on behalf of our sellers or X-Line
Asset Management. It is the responsibility
of the buyer to preview each asset
prior to bidding.

1. How will a winner be determined?
An auction
will begin with many lots offered
at one time. When the auction closes,
the highest bidders for each lot will
win the available assets at their
actual bid price plus a 15% Buyers
Premium.
2. What is the Buyers Premium
charged to each item?
The
Buyers Premium is 15% for all assets
purchased. This is a standard industry
practice and will appear on your invoice
like a tax.
3. When there are multiple
bidders with the same bid price bidding
for multiple items, and someone bids
a higher amount who is outbid?
X-Line Asset Management rewards the
earlier bidder, so the most recent
bid will be dropped first.
4. When does the auction close?
X-Line auctions close by individual
auction item. To view the closing
time of an auction, refer to that
individual auction page for details.
Each item will have a posted beginning
closing time (such as Tuesday August
2, 2005 at 2:00 p.m.) at which time
the "Going, Going…Gone"
period begins. The auction will remain
open past the posted closing time
only if bidders are actively placing
bids. This is akin to a live auction
when the auctioneer shouts "going
once, twice, . . ." at which
time a bidder can put in a last second
bid before the auction actually closes.
The going, going gone phase lasts until there are no bids placed in a 5 minute span. You will know the Going, Going, Gone Phase has begun when you see the little birdie
dancing at the top of the category
page.
5. Why isn't my bid showing
up online?
Refresh your browser and clear your
Cache!! Many people have the cache
set on their browser so that pages
are saved to your computers hard drive.
We therefore recommend setting your
browser cache to "0", or
click the "reload" button
(Netscape Navigator & Communicator)
or "refresh" button (Microsoft
Internet Explorer) often. If you are
viewing our site from AOL or CompuServe
your browser may not always reload
correctly, in this case we recommend
using one of the above browsers during
your AOL or CompuServe session.
6. Can I cancel or change
a bid?
No, each bid is a binding contract
to purchase that lot and this would
be unfair to other bidders. Once you
submit a bid, it cannot be cancelled.
If your bid is successful, you will
win the auction for that lot. If you
do not pay for your invoice, X-Line
Asset Management reserves the right
to charge you $500.00 to cancel the
invoice.
7. How will I know if I am
a winner?
When the auction closes, you'll be
notified by email if you have won
with your winning bid and quantity
won. An invoice will also be sent
to you with final bid price, buyers
premium and any applicable taxes.
If you are a reseller with a valid
reseller certificate, you can fax
it to us at (270) 573-8797 and the
taxes will be removed from your invoice.
You can also check the “My Account”
page to see what activity you have
had.
PLEASE NOTE: no winning bid notifications
will be sent by our email system until
all of the auctions have closed, so
if you think you won, be patient as
some of the other auctions may have
not closed, all notifications will
be sent out at the close of ALL auctions.
8. Who is responsible for
shipping?
The buyers are responsible for all
rigging and shipping of the assets
won. Once an invoice has been paid
in full, X-Line will provide the buyer
will the information on removal for
the lots purchased. The buyer will
bear all costs associated with removal
of the equipment.
9. How do I change my account
information?
To change any account information,
simply select the Customer Profile
page from the left column of the Auction
and “The Dock” sites.
You will need your user id and password
to access this page.
PLEASE NOTE: you must get changes
in before the close of an auction
for them to take effect for that auction.
10. Do you accept International
customers?
Absolutely. Much of the equipment
we sell will travel outside the country.
International customers are welcome
to come and bid often.
11. Why won't my password
work?
Passwords are case sensitive so it
may be that you didn't enter it exactly
as you did when you chose it. If you
would like X-Line to email you your
password or user id, please send an
email to help@xlineassets.com
and we will email you with your information.
12. Are there different options
for payment?
Yes. X-Line Asset Management received
payment via all certified funds including wire transfers, direct deposits, certified checks, company checks. X-Line does NOT accept credit cards as a form of payment.
13. What is X-Line Asset Management’s

Invoices can be paid via wire transfer
to the following account. Please contact

14. Do I have to supply my
credit card information online?
Yes, X-Line Asset Management requires
a valid credit card in order to process
any successful bids. At X-Line we
value your privacy an all information
is kept secure and confidential. For
additional information, please see
our privacy statement. Without a valid
credit card your bids will be canceled.
15. Are there any charges
to open an account or place a bid?
There are no fees to open an account
or place a bid. Your credit card will
only be charged if you want to pay
for an invoice via credit card or
if you back out of bids.
General
Terms and Conditions:
X-Line Asset Management (“X-Line”)
hosts a website offering an Internet
marketplace for online business-to-business
auctions and sales for used industrial
and surplus goods through its website
www.xlineassets.com. Unless otherwise
specified, X-Line Asset Management
is neither the buyer nor the seller
but acting as an agent assisting in
the sale of these surplus goods. Each
sale may have specific terms and conditions
which would supersede these General
Terms and Conditions.
1. All services offered
by X-Line are governed by these terms
and conditions. By registering with
X-Line, you consent to be bound to
the terms and conditions outlined
here.
2. All assets will
be sold to the highest bidder provided
however that at times minimum reserving
pricing may be set by the sellers.
Additionally some assets may be sold
“subject to seller confirmation”
allowing the seller to accept or reject
the highest bid. In all cases, X-Line
may accept or reject any or all bids.
3. All sales are
final. No refunds or returns are permitted.
4. All assets are
sold “AS IS, WHERE IS”
with all faults. Neither X-Line nor
the sellers express any warranties,
statement of condition, functionality
or condition of any item. X-Line recommends
that all buyers inspect assets whenever
possible prior to bidding.
5. X-Line charges
and collects at 15% Buyers Premium
from each successful sale.
6. Full payment is
due prior to the removal of any asset.
Full payment must be received 48 hours
from receipt of the invoice or X-Line,
at its sole discretion, shall have
the right to cancel the invoice and
resell the asset(s).
7. The seller and
X-Line have the right to remove assets
either before or after bidding has
been completed. If bidding has been
completed and payments have been received,
X-Line will immediately refund the
money to the buyer.
8. For each sale,
X-Line will announce the removal period
for each asset. The seller and X-Line
reserve the right to charge the buyer
for storage should assets not be removed
in the appropriate timeframe.
9. Buyers are aware
that some assets being sold may contain
“hazardous substances”
as defined by state, local or federal
laws. It is the sole responsibility
of the buyer to inspect all assets
prior to bidding.
10. Neither X-Line
nor the seller(s) shall be liable
in any way for damages of any kind
sustained or claimed by any person
in connection with the auction.
11. The Terms and
Conditions stated here will be governed
by the laws of the State of California.
All bidders expressly consent to personal
and exclusive jurisdiction in the
courts of the State of California
located in Santa Clara County.
How
To Bid: (the detailed version)
1. Browse through
our auction categories and products,
and once you find an item you like,
review the details by clicking on
the image or the details button.
2. Once you find
an item you want, click on the SUBMIT
BID button. After you have clicked
on the submit bid button, you will
see the following fields:
• Bid Amount (the minimum bid
is automatically inserted by our auction
system)
• Bid Quantity
• User id (leave blank to create
a new account)*
• Password (leave blank to create
a new account)*
• After that, simply click on
the SUBMIT BID button.
• *We have a quick and easy
form new customers must fill out that
will include the following: contact
name and information, billing and
shipping address' and payment information.
You'll also be able to select a User
ID and Password, that you can use
for all future bids. When selecting
your user id and password you may
use either letter or number characters.
The system will accept either as long
as they have not been used by another
registered bidder. Once you are issued

3. You will shortly
receive email notification confirming
your bid.
4. To see your bid
on the site, reload (or refresh) your
screen. Your bid will appear on the
screen and remain in our system until
you are outbid. Though you will automatically
receive an email notification if someone
outbids you, we recommend you return
often to make sure your bid is winning,
particularly at the end of an auction.
5. If you are outbid,
go back to the item's product page
and click the SUBMIT BID button to
increase your bid. Enter your User
ID and Password, and new bid amount,
and click SUBMIT BID. There's no need
to enter any of your account information
again if you use your User ID and
password.
6. When the auction
closes, you'll be notified by email
if you have won with your winning
bid price and quantity won. The Invoice
sent with your order will include
the final price you were charged for
the item including the buyers premium
and any applicable taxes.
